Terms of Use

These Terms of Use govern your use of versifii.com (the "site"), which is operated by Versifii Inc. ("Versifii", "we", "us" or "our"). By using the site, you agree to these terms. If you do not agree, please do not use the site. We may update these terms by posting a new version on this page, and your continued use of the site means you accept the updated terms.

1. About Versifii

Versifii is an operator-led holding company based in Ontario, Canada. We partner with owner-led businesses at every stage and support them with an operating team.

2. Using the site

You may use the site only if you can form a legally binding agreement and only for lawful purposes. You are responsible for any information you submit and must have the right to share it. We may suspend or block access to the site for anyone who breaches these terms.

3. Information only: no offer and no advice

The site is for general information only.

• Nothing on the site is an offer to sell, or a solicitation of an offer to buy, any security, or an invitation to invest in Versifii or in any business it owns.
• Versifii does not raise capital or accept investments through the site.
• Nothing on the site is legal, financial, tax, accounting or investment advice. Please speak with your own advisers before making any decision.
• Descriptions of our approach, capabilities, sectors and holdings are general, may be simplified and may change without notice.
• Any investment, partnership or other transaction with Versifii happens only under definitive written agreements signed by both parties.

4. The Partnership Fit tool

The Partnership Fit tool uses artificial intelligence to prepare a preliminary overview based only on the information you enter.

• Overviews are automated and may be incomplete, inaccurate or unsuitable for your situation.
• An overview is not an assessment, valuation, offer, commitment or decision by Versifii, and no one at Versifii reviews it before you see it.
• Do not rely on an overview to make business, financial or legal decisions.
• Do not enter confidential financial information or personal information about yourself or anyone else.
• You may not use the tool to generate content for any unlawful purpose, or try to manipulate, overload or extract information from it.

5. Information you send us

Unless we have signed a confidentiality agreement with you, information you send us through the site, by email or through the Partnership Fit tool is not treated as confidential or proprietary. Sending us information does not create an advisory, fiduciary, partnership or other relationship. Please do not share confidential information until we have agreed in writing how it will be protected.

If you send us ideas, suggestions or feedback, we may use them without any obligation to you.

We handle personal information as described in our Privacy Policy.

6. Intellectual property

The site and its content, including text, graphics, the Versifii name, logo and other marks, belong to Versifii or its licensors and are protected by law. We grant you a limited, non-exclusive, revocable licence to view the site and to print or save pages for your own non-commercial reference. Any other use, including copying, adapting, republishing or distributing site content, requires our prior written permission.

7. Prohibited conduct

When using the site, you must not:

• copy, scrape or collect content or data by automated means;
• bypass, disable or interfere with the security check or any other security feature;
• introduce viruses or other harmful code, or attempt to gain unauthorized access to the site or its systems;
• overload or disrupt the site or the services that support it;
• submit false or misleading information, or impersonate any person or organization; or
• use the site in any way that breaks the law or infringes the rights of others.

8. Links to other websites

The site may link to websites and services run by others. We provide these links for convenience only. We do not control and are not responsible for their content, availability or practices, and you use them at your own risk.

9. Forward-looking statements

Some statements on the site describe our plans, intentions or expectations. These statements involve risks and uncertainties, and actual results may differ. We have no obligation to update them, except as required by law.

10. Availability and changes

We may change, suspend or discontinue all or part of the site at any time, without notice and without liability to you.

11. No warranties

The site and everything on it, including Partnership Fit overviews, are provided "as is" and "as available". To the fullest extent permitted by law, we make no warranties of any kind, express or implied, including about accuracy, completeness, reliability, availability, fitness for a particular purpose or non-infringement.

12. Limitation of liability

To the fullest extent permitted by law, Versifii and its affiliates, directors, officers, employees and agents are not liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profits, revenue, data or business opportunity, arising from or related to your use of, or reliance on, the site or any Partnership Fit overview. Our total liability for any claim relating to the site will not exceed CAD $100. Some jurisdictions do not allow certain limitations, so some of these may not apply to you.

13. Indemnity

You agree to indemnify and hold harmless Versifii and its affiliates, directors, officers, employees and agents from any claims, losses, liabilities and expenses, including reasonable legal fees, arising from your breach of these terms or your misuse of the site.

14. Governing law

These terms are governed by the laws of the Province of Ontario and the federal laws of Canada that apply there. You agree that the courts of Ontario have exclusive jurisdiction over any dispute relating to the site or these terms.

15. Ending access

We may suspend or end your access to the site at any time. Sections 3, 4, 5, 6 and 11 to 16 continue to apply after your access ends.

16. General

These terms, together with our Privacy Policy, are the entire agreement between you and Versifii about the site. If any part of these terms is found to be unenforceable, the rest remains in effect. Our failure to enforce any part of these terms is not a waiver of our right to do so later.
